You could remove the Dialog by upgrading to DOS2 (but please check the various DOS2 docs and threads first, not a risk free upgrade!). However, you will still need an optical into one of the Phantoms, which you said you do not want.
Ok, but I could also just upgrade to DOS2 and then bluetooth from the TV to the speakers? I really want to get rid of the Dialog!
